Business Lawyer Serving
Athens, GA

The city blends college-town energy with serious business ambition. From downtown storefronts to ventures tied to the University of Georgia, local companies are building something meaningful, often while navigating growth, regulation, and risk. That’s where smart legal guidance matters. At Battleson Law, we help businesses cut through legal complexity and turn it into clear, practical direction.

Our business law firm near Athens doesn’t treat business law as paperwork for its own sake. Contracts, governance, and compliance all shape how your company grows, competes, and protects what it’s built. Real value isn’t measured in billable hours, but it’s measured in smoother deals, fewer disputes, and better long-term positioning. Whether you’re forming a partnership, safeguarding intellectual property, or resolving internal conflict, our focus stays on moving your business forward.

Founder Mark Battleson brings a rare blend of big-picture finance and real-world business sense. His experience shapes how we work: practical, business-first advice grounded in how companies actually operate, not just how the law reads on paper.

Our Comprehensive Practice Areas

Business & Employment Disputes

In this community, business conflicts rarely stay contained. A trusted employee leaves with sensitive information. A vendor fails to deliver when timing matters most. A former partner challenges terms you believed were settled. These situations demand a steady, strategic response. Our corporate attorney serving Athens helps businesses address disputes decisively while protecting reputation, working relationships, and long-term continuity.

  • Business and Commercial Disputes: Contract and partnership disputes disrupt operations and pull leadership off course. We focus on how the business relationship actually worked, not just what’s written on paper. From breach-of-contract claims to shareholder and vendor disputes, we pursue practical resolutions and know when litigation is necessary to protect your interests.
  • Real Estate and Real Estate Investment Disputes: Athens real estate brings unique challenges, from historic properties to student housing and mixed-use developments. Zoning issues, construction delays, title defects, and investor conflicts can stall progress. We represent owners, developers, and investors in disputes involving leases, construction, and partnership breakdowns, with a focus on preserving value.
  • Non-Compete, Non-Solicit, Non-Disclosure & Trade Secrets: Confidential information is often a business’s most valuable asset. We draft enforceable restrictive agreements and act quickly when trade secrets are misused or agreements are breached. We also defend professionals facing overly broad restrictions, helping them move forward without unfair limitations.
  • Employment Discrimination: Discrimination claims carry legal and reputational risk. We help employers reduce exposure through strong policies and documentation. When claims arise, we manage investigations, respond to agencies, and defend businesses in litigation with a focus on compliance and credibility.
  • Wage and Overtime Disputes (FLSA—Employee Compensation): Wage and classification issues can escalate quickly. We advise businesses on FLSA compliance, including classification, overtime, and recordkeeping. When disputes occur, we work quickly to limit exposure and implement systems that prevent future problems.

Business / Corporate Law

Strong companies are built on sound legal decisions, not just good ideas. Entity structure, governance, contracts, and operating agreements all influence how your business grows, manages risk, and adapts over time. Our business attorneys serving Athens help you make informed choices that support flexibility now and durability long term.

  • Outsourced General Counsel: We serve as your outside legal team, providing ongoing guidance without the cost of in-house counsel. From contracts and compliance to employment and governance issues, we offer practical, responsive advice aligned with how your business actually operates.
  • Entity Formation: Choosing the right structure, LLC, S-Corp, or C-Corp, affects taxes, liability, ownership, and future growth. We explain the tradeoffs clearly and help you select a structure that fits your goals, whether you’re launching lean, raising capital, or building a long-term enterprise.
  • Franchise Attorney: Franchise agreements are complex and heavily one-sided. We help franchisees analyze Franchise Disclosure Documents, identify financial and operational risks, and understand renewal, territory, and exit terms. Our team protects your investment at every stage.
  • Business Contracts: Contracts define obligations long after the deal is signed. We draft and negotiate agreements that allocate risk appropriately, from vendor and customer contracts to licensing arrangements. For mergers and acquisitions, we conduct diligence, carefully structure transactions, and negotiate terms that support lasting success.
  • Business Transactions: Buying or selling a business is a pivotal moment. Deal structure often matters as much as price. We guide clients through due diligence, negotiation, and closing with a focus on tax efficiency, risk allocation, and smooth transitions.
  • Startup/Entrepreneur: New ventures face intense competition and limited margin for error. We help founders protect intellectual property, structure ownership, draft essential agreements, and build governance frameworks that support growth, all with practical guidance that respects budget realities.
  • Buying / Selling a Business: Business sales and acquisitions in Athens often involve long-standing relationships and high stakes. We represent buyers and sellers through every phase of the transaction, from negotiation to post-closing obligations, structuring deals that minimize tax exposure and clarify ongoing responsibilities.
  • Corporate Finance: The capital you secure, and the terms attached, can either accelerate growth or constrain flexibility. Whether pursuing bank financing, private equity, venture capital, or alternative funding sources, we help you evaluate options and negotiate terms, preserving control and operational autonomy. Our practice for corporate law near Athens identifies hidden risks, protects ownership interests, and structures financing supporting sustainable expansion without creating future obstacles.
  • ATM Business Attorney: ATM operations involve strict regulation and cash-intensive risk. We advise operators on federal and state compliance, draft placement and processing agreements, and support expansion through acquisitions with industry-specific legal insight.
  • COAM (Coin Operated Amusement Machines) Lawyer: Georgia’s COAM industry is highly regulated, and missteps can shut down operations quickly. We assist with licensing, compliance, contract structuring, and enforcement actions, helping operators remain compliant while protecting revenue.
  • Insurance Law: When insurers deny valid claims, we push back. We challenge wrongful denials, pursue bad faith claims when appropriate, and review policies proactively to identify coverage gaps before losses occur. Our experience on both sides of insurance disputes strengthens our advocacy for policyholders.

Commercial Real Estate & Finance

The commercial real estate market here, from downtown retail to campus-adjacent and suburban developments, offers opportunity with complexity. Leases, financing, and construction contracts all shape long-term profitability. Our practice for business law near Athens provides focused guidance where details matter most.

  • Commercial Leasing: Commercial leases often include hidden costs and long-term exposure. We review and negotiate rent, CAM charges, guarantees, restrictions, and exit provisions to protect flexibility while safeguarding your financial position.
  • Finance / Debt & Equity: We structure real estate financing that aligns with project economics, including bank loans, joint ventures, and private equity. Our focus is on risk allocation, capital distribution, and maintaining control.
  • Construction Contracts & Dispute Resolution: Delays and cost overruns are common in construction. We draft contracts that anticipate disputes and resolve conflicts efficiently through negotiation, liens, bond claims, or litigation, keeping projects moving while protecting your interests.
  • Investment Partnership/Entity Structuring: Clear agreements are essential for real estate partnerships. We structure entities and joint ventures that address decision-making, capital calls, profit allocation, exits, and tax treatment. This reduces friction before it starts.
  • Purchase and Sale Agreements: Successful closings depend on precise drafting. We negotiate agreements covering due diligence, inspections, environmental risk, financing, and title issues to ensure transactions close cleanly and predictably.

New Loans, Refinancings & Loan Workouts

Debt can support growth or threaten it when poorly structured. We help businesses across Georgia secure sustainable financing and renegotiate obligations when circumstances change.

  • Commercial Loans: Loan documents are rarely “standard.” We identify restrictive covenants, excessive guarantees, and risky default triggers, then negotiate terms that better match real-world business conditions. Our goal is to prevent ordinary business fluctuations from becoming technical defaults. We also help borrowers understand how loan terms affect future financing, growth plans, and exit strategies.
  • SBA Loans: SBA loans offer attractive terms but come with detailed eligibility and compliance requirements. We guide clients through applications, use-of-proceeds rules, and personal guarantee obligations, making the process manageable and predictable. Our team helps anticipate lender concerns before they stall approval. We also advise on post-closing compliance to avoid costly surprises down the road.
  • General Franchise Loans: Franchise financing adds an extra layer of scrutiny beyond traditional lending. Our corporate lawyers serving Athens structure loans that satisfy lender requirements while remaining consistent with franchise agreement obligations. This includes coordinating startup costs, working capital needs, and franchisor approvals. Our focus is on securing funding that supports both launch stability and long-term growth.
  • Commercial Real Estate Loans: Commercial real estate financing requires a careful balance between leverage and cash flow sustainability. We help structure loans that limit personal exposure, align debt service with income, and protect future refinancing options. Our attorneys also review environmental, title, and guaranty provisions that can materially affect risk. The result is financing that supports ownership, not restricts it.
  • Loan Default Workout: When loan payments become unsustainable, early action creates leverage. We negotiate workouts, forbearance agreements, and modified terms that protect assets and preserve lender relationships. Our approach focuses on realistic repayment structures that lenders will accept. Acting before defaults escalate often preserves far more options than waiting.
  • Default Lease Agreements & Lease Disputes: A lease dispute can threaten your physical location and your business continuity. We negotiate practical solutions such as rent deferrals, modified terms, or early exits when circumstances change. When negotiations fail, we enforce tenants’ and landlords’ rights through formal dispute resolution. Our experience across Georgia and South Carolina allows us to move quickly and decisively.

Why Athens Businesses Choose Battleson Law

A Business Mindset, Not Just Legal Advice

Mark Battleson offers something many attorneys don’t: real experience making business decisions. Before founding Battleson Law, he worked as a senior executive confronting the same challenges his clients face today: how to finance growth, structure partnerships, manage risk, and close deals without creating long-term problems. He’s negotiated complex, high-value transactions and seen firsthand how early legal decisions affect outcomes years later.

That experience is practical, not theoretical. Mark earned his law degree from Emory University School of Law and his MBA from the University of Michigan, then built his career as a Wall Street investment banker, Capital Markets Director for the nation’s largest multifamily developer, and manager of real estate portfolios nationwide. He’s been both the client frustrated by disconnected legal advice and the executive responsible for results. That perspective guides how Battleson Law works with every business client.

You Work Directly With Experienced Attorneys

We don’t use layers of junior associates or pass your matter from person to person. When you work with Battleson Law, you deal directly with attorneys who understand your business and your goals. You get clear answers, responsive communication, and practical guidance without unnecessary overhead or bureaucracy. Our focus is on building long-term relationships, not billing for complexity.

Building a Legal Strategy That Fits Your Business

Every business operates differently, and your legal approach should reflect that. We start with a focused consultation to understand your objectives, challenges, and growth plans. From there, we develop a clear strategy that helps you move forward with confidence, avoid costly mistakes, and protect what you’ve built. You’ll walk away with practical next steps, not abstract advice.

Getting Your Structure Right

We review how your business is currently set up, including entity type, ownership, and core agreements. If your structure limits financing options, creates tax inefficiencies, or leaves disputes unaddressed, we identify those issues and recommend changes that better support your direction.

Planning for Growth Before It Happens

Growth creates opportunity and legal complexity. We help businesses prepare for expansion by planning for new partners, investors, acquisitions, market entry, and intellectual property protection. By thinking several steps ahead, we ensure your legal framework supports growth instead of slowing it down.

Reducing Risk Without Slowing You Down

Managing risk isn’t about being overly cautious; it’s about being prepared. We identify vulnerabilities in contracts, employment practices, compliance obligations, and liability exposure, then implement protections that make sense for how your business actually operates.

Turning Strategy Into Action

Legal advice only matters if it can be implemented. We translate strategy into clear action items, timelines, and cost expectations. No legal jargon, no surprise fees, and no loose ends, just a plan that keeps your business moving forward.

Practical Legal Guidance for Businesses That Want to Move Forward

Running a business in Athens requires more than legal protection. It requires clear judgment, timely advice, and a partner who understands how decisions play out in the real world.

Battleson Law works with business owners who need legal guidance that supports growth, sharpens strategy, and prevents small issues from becoming costly problems. Led by Mark Battleson, a former business executive turned attorney, our firm brings a business-first perspective to entity formation, transactions, financing, and disputes. I can't say enough about Mark .He came in and saved my aunt home from a predator. Mark carried the torch thru court to the final sale of my aunt's home. He dealt with the Insurance company after they were slow in making payments after a water leak to the home which was pending sale. This man has our upmost respect and appreciation. He signed up for something that became larger than life for my aunt. Thank you Mark for keeping us grounded during this time. Wishing nothing but the best for him and his firm. This situation became huge! Again Thank you!! Glenda Wynn/Angela Parham

My husband and I are so glad we found Mark! He is an excellent attorney with tons of contract, business, and real estate knowledge and experience. He took the time to thoroughly advise and educate us about our situation. Trust me, he is worth every dollar! He saved us over $100k on a bad deal that we later discovered would have been financially devastating had we not hired Mark! Thank you again, Mark! We look forward to working with you again in the near future.

Mark is a life-long friend and I reached out to him when our day-to-day attorney was having difficulty handling the complex sale of my family’s third-generation business. The sale was to a large, private equity firm, with an operating partner that was rolling-up businesses in the auto repair space. Just by reviewing the LOI, Mark immediately recognized holes in our deal that could have cost the family millions of dollars in: lost lease/real estate value; higher-risk earnout terms; and. a lower overall return on the sale. When we hired Mark, he jumped right in, created a strong relationship with the buyer and its counsel, as well as kept the family together during the stressful 6+ month process, including many late nights. Ultimately, Mark re-worked the entire deal: Asset Purchase Agreement (with complex, de-risked earn-out and equity participation); Employment agreements for retained executives; Non-competes, etc., and, 6 commercial leases on real estate owned by the Seller-principals and leased back to the new owner that added multiple millions of dollars of value. Mark renegotiated economic and legal terms based on financial analysis he put together based on his past experience in institutional real estate investment and capital markets. When it was all concluded, we couldn’t have been happier, and even the Buyer’s President specifically complimented Mark during the closing/funding call, indicating that he deserved special recognition for keeping the deal on track, when at times it looked like it might not close. Best business decision we made was hiring Mark to represent us! Couldn't have been happier with the outcome! Thank you for all that you did, Mark!

I brought Mark into my lawsuit late in the game. He stayed on top of me to get the information he needed, worked with me to make me a better witness, stayed organized and fluid, and kept going until we won. Mark is a master at his craft. Hiring him really was one of the best decisions I have ever made. It was the other reviews and my consultation with him that won my trust. It was one of those gut feeling things. I am the owner of a new company and he will represent all my future needs. Thank you Mark. Job well done.
